These Terms of Service ("Terms") govern your access to and use of Agents247 (the "Service"), provided by us. By creating an account or using the Service, you agree to be bound by these Terms. If you don't agree, don't use the Service.
1. The Service
Agents247 provides a multi-tenant, AI-powered chat widget that you can embed on your website. The Service includes a JavaScript snippet, an admin dashboard, integrations with third-party AI providers (currently OpenAI and Anthropic), and supporting APIs. We may update, improve, or discontinue features at our discretion, but we will give you reasonable notice before sunsetting anything you depend on.
2. Your account
To use the Service you need to register for an account. You must:
- Provide accurate and current information at signup, and keep it accurate.
- Keep your password and any API keys we issue you confidential.
- Be at least 18 years old, or the age of majority in your jurisdiction.
- Be authorized to bind your organization to these Terms if you sign up on its behalf.
You are responsible for everything that happens under your account. If you become aware of unauthorized use, notify us immediately.
3. Acceptable use
You agree not to use the Service to:
- Distribute malware, spam, or phishing content.
- Harvest personal information from website visitors without a lawful basis.
- Interact with minors under the age of digital consent in the visitor's jurisdiction without verified parental consent.
- Generate or distribute child sexual abuse material, content that incites violence, or content that violates the terms of service of our AI sub-processors.
- Reverse-engineer, decompile, or scrape the Service beyond what's publicly documented in our APIs.
- Circumvent rate limits, plan ceilings, or other access controls.
- Resell, sublicense, or "white-label" the Service without a separate written agreement from us.
We may suspend or terminate accounts that violate this section, with or without notice depending on severity.
4. Your content and data
You retain ownership of the knowledge-base entries, widget content, and other material you upload to the Service ("Customer Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, copy, transmit, display, and adapt your Customer Content strictly as needed to provide the Service. We will not use it for any other purpose without your permission.
You're responsible for ensuring you have the legal right to upload any Customer Content and to collect and process the information that arrives via your widget. Our Privacy Policy sets out the technical and contractual obligations both parties take on regarding visitor data.
5. Plans, billing, and refunds
The free plan is available without payment. Paid plans (Starter, Pro) are billed monthly in advance via Stripe. By providing a payment method you authorize us to charge the recurring subscription fee, applicable taxes, and any usage-based overages.
- Billing cycle: charges are applied on the same day each month as your initial subscription, prorated when you upgrade or downgrade mid-cycle.
- Failed payments: if a charge fails, we will retry for up to 14 days. During that period your account may be flagged degraded; after 14 days it is downgraded to the free plan.
- Cancellation: you can cancel anytime from the billing portal. Cancellation takes effect at the end of the current billing period; we don't pro-rate refunds for partial periods.
- Refunds: we don't offer refunds for past periods. If we materially fail to deliver the Service and don't fix the issue within a reasonable time, contact us at [email protected] and we'll work it out in good faith.
- Taxes: prices are exclusive of taxes unless stated otherwise. Where required by law we will collect VAT, GST, or sales tax and remit it on your behalf.
6. Plan limits and overages
Each plan has a monthly conversation ceiling published on the pricing page. We will notify you in-app when you reach 80% and 100% of the ceiling. Beyond 100%:
- On the free plan: new conversations are queued or blocked until the next billing cycle. We will not silently bill you.
- On paid plans: we charge a per-conversation overage rate documented on the pricing page, or you can upgrade to a higher plan to avoid the surcharge.
7. Service availability
We aim for 99.9% monthly availability on paid plans, measured as the percentage of minutes per calendar month in which the widget API responds with a 2xx status to health checks. Scheduled maintenance (announced at least 48 hours in advance) doesn't count against this target. Third-party outages at our AI providers, Stripe, or our hosting provider don't count against this target either, but we will publish a status page (status.agents247.app) showing incidents and post-mortems.
If we fail to meet 99.9% in a calendar month, contact us within 30 days of month-end and we will credit your next invoice with a pro-rated refund. This is your sole and exclusive remedy for availability shortfalls.
8. Intellectual property
The Service, including all software, design, documentation, and trademarks, is owned by us or our licensors. These Terms grant you a limited, non-exclusive, non-transferable license to use the Service while your account is in good standing. Nothing in these Terms transfers ownership of any of our intellectual property to you.
If you give us feedback or suggestions, we may use them without obligation or compensation.
9. Third-party services
The Service relies on third-party providers (OpenAI, Anthropic, Stripe, Resend, Sentry, and others listed in the Privacy Policy). Each of those providers has its own terms; by using the Service you authorize us to share with them the data necessary to operate the integration. We're not responsible for outages or policy changes at third-party providers, though we will substitute or remove a provider if it fundamentally impairs the Service.
10. Disclaimers
AI-generated replies may be incorrect. The Service routes visitor messages through large language models. While we constrain the model with your knowledge base and a hardened system prompt, no LLM can be guaranteed to be accurate or appropriate in every interaction. You're responsible for reviewing the bot's behavior, configuring fallback/handoff settings, and supervising customer-facing output.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST DATA, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Each party's aggregate liability for direct damages is capped at the greater of (a) the fees you paid us in the twelve months preceding the event giving rise to the claim, or (b) one hundred US dollars (USD $100).
These limits don't apply to liability for indemnification obligations, breach of confidentiality, or claims that can't be limited under applicable law (such as gross negligence or willful misconduct).
12. Indemnification
You agree to defend, indemnify, and hold us harmless from any claim by a third party arising out of (a) your use of the Service in violation of these Terms, (b) your Customer Content, or (c) your violation of any law or third-party right.
13. Termination
You may close your account at any time from the admin settings. Closing your account ends our obligation to keep your data: we delete it within 30 days unless legally required to retain it longer.
We may suspend or terminate your access immediately if (a) you materially breach these Terms, (b) you fail to pay an invoice when due (after the 14-day grace period), or (c) we're required to do so by law. On termination, you remain liable for any amounts owed through the termination date.
14. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced via email and posted at the top of this page at least 30 days before they take effect. Continued use of the Service after that date constitutes acceptance.
15. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The exclusive venue for any dispute is the state and federal courts located in Delaware. You and we both waive any right to a jury trial. Nothing in this section prevents either party from seeking injunctive relief in any court of competent jurisdiction.
16. Miscellaneous
These Terms, together with the Privacy Policy and any order forms we may sign with you, constitute the entire agreement between the parties. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision isn't a waiver of our right to enforce it later. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of substantially all of our assets.
